Abstract: In der Arbeit werden die unterschiedlichen Erscheinungsformen des Scalpings dargestellt und der Frage nachgegangen, welche dieser Erscheinungsformen als Ordnungswidrigkeit oder Straftat zu sanktionieren sind. Zur Beantwortung der Frage eines Sanktionserfordernisses wird die als einschlägig erachtete Vorschrift des § 20a Abs. 1 S. 1 Nr. 3 WpHG und deren Konkretisierung in § 4 Abs. 3 Nr. 2 MaKonV in Verbindung mit den Blanketttatbeständen der § 39 Abs. 1 Nr. 2 und § 38 Abs. 2 WpHG dahingehend überprüft, ob für diese Regelung in Bezug auf Scalping eine tragfähige Legitimationsgrundlage zu finden ist. Sanktioniert wird nach aktueller Gesetzeslage der fehlende Hinweis auf einen Interessenkonflikt. In kritischer Auseinandersetzung mit der Rechtsgutsthematik werden zunächst die vom Gesetzgeber in der Gesetzesbegründung zu § 20a WpHG herangezogenen Rechtsgüter ermittelt und anhand der Maßstäbe eines systemkritischen Rechtsgutsbegriffs daraufhin untersucht, ob diese als belastbare Ausgangspunkte einer Sanktionierung des Scalpings als marktmanipulative Handlung fungieren können. Als anerkennenswerte Rechtsgüter verbleiben die Funktionsfähigkeit der überwachten Märkte sowie das Vermögen des einzelnen Anlegers. Im Anschluss daran werden die einzelnen Scalpingschritte (Eigengeschäft, Empfehlung, empfehlungsgegenläufiges Eigengeschäft) auf ihr rechtsgutsbeeinträchtigendes Potenzial hin untersucht, wobei sich herausstellt, dass unter Zugrundelegung eines systemkritischen Rechtsgutsbegriffs die fehlende Offenbarung eines Interessenkonfliktes keine Sanktionierung des Scalpings zu rechtfertigen vermag, vielmehr ausschließlich auf die Qualität der Empfehlung abzustellen ist. Im Rahmen der Analyse der einzelnen Scalping-Schritte wird gezeigt, dass das erste Eigengeschäft weder einen Insidertatbestand verwirklicht, noch als unmittelbares Ansetzen zur Tatbestandsverwirklichung für die nachfolgende Empfehlung einzustufen ist. Im Hinblick auf die Empfehlung als zweiten Schritt der Scalpinghandlung wird dem bislang begründungslos unterstellten Zusammenhang nachgegangen, inwieweit der Ratschlag des Scalpers überhaupt kausal für die Entscheidung des Empfehlungsempfängers ist und ferner, ob eine dadurch eintretende Rechtsgutsverletzung dem Scalper in jedem Fall objektiv zuzurechnen ist. Mithilfe eines psychologischen Exkurses, in dem Erkenntnisse verschiedener Strömungen des Behaviorismus sowie der kognitiven Psychologie ausgewertet werden, wird nachgewiesen, dass menschliches Verhalten, somit auch die Reaktion eines Ratsempfängers auf eine Empfehlung des Scalpers, Gesetzmäßigkeiten unterworfen ist. Dies hat zur Konsequenz, dass zur Beantwortung der Kausalitätsfrage bei psychisch veranlasster Kausalität auf die Lehre Engischs von der gesetzmäßigen Bedingung zurückgegriffen werden kann, so dass es eines Ausweichens auf nicht kausale Erklärungsmodelle für den Zusammenhang zwischen der Empfehlung des Scalpers und der Reaktion des Anlegers nicht bedarf. Es wird ferner herausgearbeitet, welche Empfehlungshandlungen des Scalpers die identifizierten Rechtsgüter in sozialwidriger Weise tangieren und für welche Empfehlungshandlungen eine objektive Zurechnung der Rechtsgutsbeeinträchtigung möglich ist. Eine zutreffende Empfehlung ist – auch wenn der Scalper hieraus einen Vermögensvorteil erlangt – nicht zu sanktionieren. Für den dritten Schritt der Scalpinghandlung wird gezeigt, dass dieser grundsätzlich weder als Straftat noch als Ordnungswidrigkeit zu ahnden ist. Im Unterschied zum Scalping auf dem Primärmarkt ist in Fällen der Anlageberatung jedoch auch bei zutreffenden Empfehlungen eine objektiv zurechenbare Rechtsgutbeeinträchtigung möglich, wenn der Scalper im Anschluss an eine zutreffende Kaufempfehlung seine Ratsempfänger nicht über die beabsichtigte Veräußerung einer kritischen Anzahl der empfohlenen Finanzinstrumente informiert. In der Arbeit werden ein Vorschlag für eine sämtliche Erscheinungsformen umfassende Scalping-Definition unterbreitet sowie Anregungen für eine erforderliche Änderung des § 4 Abs. 3 Nr. 2 MaKonV gegeben.
The dissertation describes the different manifestations of scalping and explores the question of which of these manifestations constitute misdemeanours or crimes that should be subject to sanction. In order to address the issue of the need for sanctions the provision that is considered to be pertinent and is set out in Section 20a para. 1 p.1 no. 3 of the German Securities Trading Act (Wertpapierhandelsgesetz, "WpHG") as well as its clarification in Section 4 para. 3 no. 2 of the German Market Manipulation Definition Regulation (Marktmanipulations-Konkretisierungsverordnung, "MaKonV"), in conjunction with the general offences set out in Section 39 para. 1 no. 2 and Section 38 para. 2 of the "WpHG", were examined and assessed with respect to scalping to see if a sustainable basis for legitimacy could be found for this regulation. Under existing law, the absence of any mention of a conflict of interest is subject to sanction. In a critical examination of the topic of legally protected interests, initially, the legally protected interests taken into account by the German government in the preamble to Section 20a of the "WpHG" were ascertained and then analysed on the basis of a systemic critical concept of legally protected interests to see if these could function as sustainable starting points for the sanctioning of scalping as an act of market manipulation. Legally protected interests that are respected remain the functional capability of supervised markets as well as the assets of an individual investor. Subsequently, the individual scalping steps (proprietary transaction, recommendation, proprietary transaction that is contrary to the recommendation) were examined with regard to their potential to have a negative impact on legally protected interests, whereby it transpired that, on the basis of a systemic critical concept of legally protected interests, failure to disclose a conflict of interest cannot justify sanctioning the scalping but rather the quality of the recommendation is solely relevant. The analysis of the individual scalping steps has shown that the first proprietary transaction constitutes neither the completion of an insider dealing offence, nor can it be classified as a direct preparation for the completion of an offence for the subsequent recommendation. With regard to the recommendation as a second step of the scalping activity, there was an examination of a to-date unsubstantiated, assumed connection and the extent of any causal relationship that exists between the scalper's advice and the decision of the recipient of the recommendation, and furthermore, whether or not the violation of a legally protected interest that arises from this is, in each case, objectively attributable to the scalper. With the help of a psychological excursus, in which the findings of the different threads of behaviourism as well as cognitive psychology were evaluated, it was proven that human behaviour - thus also including the reaction of a recipient of advice to a scalper's recommendation - is subject to norms. As a consequence of this, in order to address the issue of causality in the case of mental causality, use could be made of (Karl) Engisch's theory about rule-bound preconditions (gesetzmäßige Bedingung) so that it was not necessary to fall back on non-causal explanatory models for the connection between the scalper's recommendation and the reaction of the investor. Furthermore, there is a detailed presentation of those scalper's recommended actions that affect the identified legally protected interests in a socially detrimental way and those recommended actions to which a negative impact on legally protected interests can be objectively attributed. An accurate recommendation - even if the scalper obtains a pecuniary advantage - cannot be sanctioned. For the third step of the scalping activity, it has been shown that, in principle, this is not punishable neither as a crime nor as a misdemeanour. However, in contrast to scalping on the primary market, in the case of investment advice, a negative impact on legally protected interests can also be objectively attributed in the event of accurate recommendations if the scalper, subsequent to an accurate recommendation fails to inform the recipient of such advice about the intention to sell a significant amount of the recommended financial instrument. The dissertation provides a suggestion for a definition that encompasses all the manifestations of scalping as well as proposals for the necessary amendment to Section 4 para. 3 no. 2 of the "MaKonV".
